Service Agreement

This agreement is made on [DATE] between [YOUR BUSINESS NAME], located at [YOUR ADDRESS] ("Provider"), and [CLIENT NAME], located at [CLIENT ADDRESS] ("Client").

1. Services

Provider will provide these services: [DESCRIBE THE SERVICES AND DELIVERABLES]. Not included: [ANYTHING THE CLIENT COULD ASSUME IS INCLUDED BUT IS NOT].

2. Schedule

Work starts on [START DATE]. [Provider plans to finish by END DATE.] [OR: The Services repeat WEEKLY / MONTHLY until either party ends this agreement under section 7.]

3. Fees and payment

Client will pay [$ AMOUNT] [FLAT FEE / PER HOUR / PER MONTH]. A deposit of [$ AMOUNT] is due when Client signs and counts toward the total. Provider will invoice the rest [ON COMPLETION / MONTHLY], and each invoice is due within [NUMBER] days. [LATE FEE, IF ANY, ONLY AS STATE LAW ALLOWS]

4. Client's part

Client will give Provider the access, information and approvals the work needs, on time. If a delay on Client's side holds up the work, the schedule moves by the same amount of time.

5. Changes

Either party can ask to change the scope. A change takes effect only when both parties approve it in writing, including any change to price and schedule. Email counts.

6. Independent business

Provider is an independent business, not Client's employee. Provider controls how the work is done and supplies its own tools, staff and insurance.

7. Cancellation and ending

Either party can end this agreement with [NUMBER] days' written notice. Client pays for work done up to the end date. Once work has started, the deposit is [REFUNDABLE / NON-REFUNDABLE].

8. Confidentiality

Each party will keep the other's non-public information private and use it only for this agreement.

9. Ownership

When Client has paid all amounts due, Provider assigns Client its rights in the final deliverables made for Client. Provider keeps its own tools, methods and earlier materials, and can show the work in its portfolio unless Client says no in writing.

10. Quality and liability

Provider will perform the Services with reasonable care and skill. If something is wrong, Client tells Provider within [NUMBER] days and Provider fixes it at no extra cost. Provider's total liability under this agreement is limited to the fees Client paid, except where the law does not allow that limit.

11. Governing law and disputes

The laws of the State of [STATE] govern this agreement. The parties will try to settle any dispute in good faith for [NUMBER] days before either one files in a court in [COUNTY AND STATE].

12. Entire agreement

This document is the whole agreement between the parties and replaces any earlier understanding. Changes must be in writing and approved by both parties. If a court finds any part unenforceable, the rest stays in effect. The parties agree to sign electronically, and an electronic signature counts the same as a handwritten one.

Template from EsigIt (esigit.com), October 2026. A starting point, not legal advice. State laws differ on deposits, late fees and limits of liability. Have a lawyer in your state review it before you rely on it.

How do you write a simple service agreement in 2026?

Write down 6 things in plain words: who the parties are, the exact work, the price and when it's due, how changes get approved, how either side can end it, and which state's law applies.

Then add one line most people skip: what's not included. It heads off the argument you'd otherwise have halfway through the job. This template has a blank for it in section 1.

What's the difference between a service agreement and an independent contractor agreement?

They cover the same 2 parties from opposite sides: you send a service agreement when you do the work, and a contractor agreement when you hire someone to do it.

The clauses overlap. The contractor version leans on worker status, ownership and the W-9. The service version leans on deposits, changes and limits on your liability. If you're the one hiring, use the independent contractor agreement. Both were written in October 2026.

Is a master service agreement the same thing?

No: a master service agreement (MSA) sets the terms for 1 ongoing client relationship, and each new job gets its own short statement of work under it.

This template is built for a single job or simple recurring work. If you'll do 10 separate projects for the same client, move sections 1 to 3 into a 1-page statement of work and keep the rest as your MSA. On EsigIt each signed statement of work is its own $1.99 document in 2026, so 10 of them cost $19.90.

Can a client sign a service agreement online?

Yes: the federal ESIGN Act of 2000 says a contract can't be denied legal effect just because an electronic signature was used to make it.

EsigIt records your client's consent to sign electronically, checks them with a code sent to their email, and keeps an audit trail with times and IP addresses. Your client doesn't need an account. Read more on what makes an e-signature hold up.

How do you send this service agreement for signature with EsigIt?

It takes 4 steps, and EsigIt charges $1.99 once, after every signer has finished. If your client never signs, you pay nothing.

  1. Fill in your part. Download the PDF or copy the text into Word or Google Docs, fill in every red [BRACKET] that's yours, and save it as a PDF.
  2. Upload it to EsigIt. Or press Send it for signature to start from the blank template and add a text field for each blank your client fills in.
  3. Add who signs. Type each signer's name and email, then drag the signature and date fields onto the signature lines.
  4. Send. Your client opens the link, enters a 6-digit code EsigIt emails them, reads the whole document and signs on their phone. You both get the signed PDF.

This is not legal advice. The template is a starting point, and state laws differ, especially on deposits, late fees and limits of liability. Have a lawyer in your state review it before you rely on it.

What else do people ask about this template?

4 short answers, current as of October 2026.

Is this service agreement template free?
Yes. Copy it, download the PDF, print it and edit it. You pay EsigIt $1.99 only if you send it through EsigIt and every signer finishes.
Can I add a late fee?
Only what your state allows. Limits on late fees and interest come from state law, so section 3 leaves it as a blank for you to fill in or delete.
Does it work for recurring monthly work?
Yes. Pick the recurring option in section 2 and bill monthly in section 3. It keeps running until either side gives the notice in section 7.
Is the deposit refundable?
You choose. Section 7 has a blank for refundable or non-refundable once work starts. Fill it in plainly, because that's the line clients argue about.
